About this calculator
This calculator estimates the value of a stock option grant using two components. Intrinsic value is the straightforward part: Current Share Price minus Strike Price, per option (floored at zero for underwater options), multiplied by Vested Options (Number of Options times Vested Percentage). Total Option Value adds a simplified time-value estimate on top -- an approximation of roughly 10% of the current share price per year of Years to Expiry remaining, scaled by the square root of time, since it isn't computed from a full options-pricing model like Black-Scholes (which would additionally require a volatility input this calculator doesn't collect). Estimated Tax applies Tax Rate on Gains directly to Total Intrinsic Value to produce After-Tax Value.
Real stock option taxation depends heavily on the option type: Incentive Stock Options (ISOs) can qualify for favorable long-term capital gains treatment if specific holding-period requirements are met, but the exercise spread can trigger Alternative Minimum Tax; Non-Qualified Stock Options (NSOs) are taxed as ordinary income on the spread at exercise, regardless of how long you later hold the shares. This calculator applies one flat rate to the whole gain and does not distinguish between ISO and NSO treatment, doesn't model AMT, and doesn't account for a specific vesting schedule (it treats Vested Percentage as a single snapshot, not a 4-year cliff-and-monthly schedule). Frequently Asked Questions
Why doesn't Tax Rate on Gains change Total Intrinsic Value?
Total Intrinsic Value is a pre-tax figure -- it's the gross spread between Current Share Price and Strike Price across your vested options, before any tax is applied. Tax Rate on Gains only comes into play when computing Estimated Tax and After-Tax Value, which are separate, downstream figures. This keeps the pre-tax and post-tax pictures cleanly separated.
Does this calculator know if I have ISOs or NSOs?
No -- it applies a single flat Tax Rate on Gains to the entire spread regardless of option type. In reality, Incentive Stock Options (ISOs) can qualify for lower long-term capital gains rates if you meet specific holding-period rules, but can also trigger Alternative Minimum Tax at exercise; Non-Qualified Stock Options (NSOs) are simply taxed as ordinary income on the spread at exercise. These produce meaningfully different after-tax outcomes that this simplified model doesn't distinguish -- enter a tax rate that reflects your specific situation, or consult a tax advisor.
How is the time value in Est. Total Value (incl. time) calculated?
It's a simplified approximation, not a full options-pricing model -- roughly 10% of the current share price per year of Years to Expiry remaining, scaled by the square root of time. A real valuation (like Black-Scholes) would also require the stock's volatility as an input, which this calculator doesn't collect, so treat the time-value component as a rough directional estimate rather than a precise premium.
What happens if my strike price is higher than the current share price?
Intrinsic value per option is floored at zero -- an option is never worth a negative amount, since you simply wouldn't exercise it if the strike price exceeds the market price. Total Intrinsic Value and After-Tax Value both go to zero in that case, though Est. Total Value (incl. time) can still show a small positive figure from the time-value component, since an out-of-the-money option can still have value if there's time left for the stock to recover.
Does this account for my actual vesting schedule?
No -- Vested Percentage is a single snapshot value you enter, not a calculated result of a 4-year vesting schedule with a 1-year cliff (the most common structure) or your specific grant's terms. Check your equity plan documents or cap table software for your actual vested amount as of today, and re-run this calculator periodically as more of your grant vests.
